1.3 In the context of these terms and conditions a “client” is an individual or organisation purchasing our e-designs, and a “consumer” is an individual or organisation using our digital products.
1.4 By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, consumers, clients, merchants, and/or contributors of content.
1.5 Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.
1.6 Our store is hosted on Wix eCommerce. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

13. Governing Law
13.1 These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the United Kingdom.
13.2 Clients or consumers who reside outside of the UK, who enter into a working relationship with us, are bound by UK laws. It is important to note that our business operates in accordance with UK laws only, and will not comply with the legal requirements of other jurisdictions, including those in the US, Canada, and EU.
14. Online Interior Design Service
14.1 When requesting the services of Valedise Online Interior Design, the client agrees to accept these terms and conditions.
14.2 E-design is an online interior design service only, and all design work will be carried out remotely.
14.3 For an agreed fee per room, we will provide a bespoke digital design. Depending on the package selected (see clause 15) other agreed services may also be provided.
14.4 In the event that a client's room measures more than 25m², features a substantial open space, or necessitates additional technical work associated with layout and zoning, additional fees may be incurred.
14.5 All design suggestions are provided with the aim of improving the aesthetics of your space and should not be construed as being intended for construction purposes.
14.6 The client agrees to provide all relevant information pertaining to their project requirements before commencement of the design work.
15. Online Interior Design Packages
15.1 The Mini Online Design Package will include a discussion and design brief with the client. From information gathered from the discussion a design and inspirational mood board will be developed for discussion with the client. Up to two mood board revisions are included in the package, if required. Once the mood board is agreed with the client, the following will be provided:

suggested furniture and accessories
One revision of the e-design will be provided if necessary. Revisions to the mood board or e-design in addition to those included in the package or any other additional work requested by the client, will be provided at the discretion of Valedise Online Interior Design. Where additional work is agreed, a fee that reflects the time required to complete the work will be agreed with the client before the work commences.
15.2 The Premium Design Package will include a discussion and design brief with the client. From information gathered from the discussion a design and inspirational mood board will be developed for discussion with the client. Up to two mood board revisions are included in the package, if required. Once the mood board is agreed with the client, the following will be provided:

2D design concept

shopping list
Up to two revisions of the e-Design will be provided if necessary. Revisions to the mood board or e-design in addition to those included in the package or any other additional work requested by the client, will be provided at the discretion of Valedise Online Interior Design. Where additional work is agreed, a fee that reflects the time required to complete the work will be agreed with the client before the work commences.
16. Online Interior Design Payment & Billing Terms
16.1 The charges for the services will be those agreed with the client before work commences, plus any supplementary fees for additional work agreed with the client, where applicable.
16.2 To book a design slot, the client must contact us to confirm the desired package. We will then provide availability details. A deposit of £100 is required to secure the space, which will be deducted from the final design fees.
16.3 Once the project has been agreed, an invoice for the deposit will be issued to the client. Payment should be made by bank transfer within 7 days of the invoice date.
16.4 Work will commence once the deposit has been received and all relevant information has been provided by the client, or at a later date if agreed with the client.
16.5 The final e-design will be completed within 3-4 weeks of the commencement of work. The remaining fee will be requested before the release of the final design. An invoice for the remaining fee will be issued to the client, and payment should be made within 7 days of the invoice date. The client will also be informed when the design is ready.
16.6 If any revisions are required once the e-design is complete, additional time may be required.
16.7 Quotes provided will be valid for 30 days from the date of the quote. If the client does not respond within 30 days, the quote may be considered invalid, and a new quote may be required.
16.8 If, at any time during the project, the client does not respond to or initiate contact with the designer for more than 3 months, the designer is not required to carry out further design work, and the project will be regarded as completed.
17. Online Interior Design Cancellation and Refund
17.1 The client has the right to cancel a contract at any time up to three working days prior to the project date. A working day is any day other than weekends and bank or other public holidays.
17.2 The client must give written notice of cancellation to Valedise by email.
17.3 Once the client has notified Valedise of cancellation, Valedise will, within 30 days, refund the client for the services.
17.4 If the client cancels the project after it is underway, a refund will not be issued.
18. Digital Products
18.1 By purchasing our digital products, the consumer agrees to accept these terms and conditions.
18.2 Our digital products are for the consumer's personal use only, and are not to be published, shared with or sold to third parties.
18.3 The consumer is not permitted to use our digital products for their own business use, marketing material or any other commercial purpose.
18.4 By purchasing and using our digital products, you acknowledge and accept that you are not authorised to modify, copy, reproduce, decompile, reverse engineer, or create derivative works based on the materials. Additionally, you are not permitted to remove any copyright or proprietary notices from the materials or offer competing products based on the materials.
18.5 Valedise is not responsible for the content of external websites that are linked to in our digital shopping lists. We cannot ensure the accuracy, appropriateness, validity, reliability, availability, timeliness, or completeness of the information found on these external sites. It should be noted that Valedise is not associated with or responsible for the maintenance of these external websites.
19. Refund of Digital Products
19.1 All sales of digital products on our website are considered final due to the nature of digital content, unless technical problems have prevented consumers from accessing their digital product.
20. Limitation of Liability
20.1 Valedise, its owners, affiliates, or service providers do not accept responsibility or liability for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the services or products, including recommended products, provided by Valedise, or for any other claim related in any way to your use of the services or products including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service.
20.2 Valedise accepts no responsibility or liability for any loss, damage, costs, or other claims for compensation arising as a result of false, unclear or inaccurate information provided by the client or consumers.
20.3 Valedise accepts no responsibility or liability relating to links to third-party websites, including products, content, features, advertising, or other materials.
20.4 Valedise accepts no responsibility or liability for, and accepts no claims for compensation in relation to, changes to third-party products recommended in the e-design or digital shopping list, such as product specification, price changes, products being out of stock or becoming discontinued.
20.5 Valedise accepts no responsibility or liability for any incorrect products ordered by the client or consumer, or for products received by the client or consumer that are the incorrect size, incorrect colour, damaged, or which in any other way do not meet the client’s or consumer’s needs or expectations. We advise clients and consumers to order samples and swatch paint colours where possible.
20.6 Valedise accepts no responsibility or liability for recommended products that are defective on receipt. It is the consumer’s and client’s responsibility to read third-party return policies, and to communicate with the supplier to resolve any product issues.
20.7 Valedise accepts no responsibility or liability for any damage to persons or property arising from recommended products. The client or consumer is responsible for ensuring that:

recommended products are constructed or installed in accordance with manufacturer's instructions; and
-
appropriately skilled, qualified and experienced professionals are used to construct or install recommended products where required including, but not limited to, wall mounted, plumbing and electrical products.
20.8 Valedise does not guarantee the accuracy, reliability, completeness, or timeliness of any content, including designs, provided through the online interior design service.
20.9 Valedise accepts no responsibility or liability for any failure to provide services and products due to circumstances beyond its control including, but not limited to, fire, flood or adverse weather conditions.
20.10 Although we make reasonable efforts to ensure that our e-design meets your needs, it is intended for illustrative purposes only and should not be solely relied upon. You must use your own judgement and due diligence to evaluate and implement the e-design, including all product recommendations.
21. Amendments
21.1 We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website.
21.2 It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
